As mentioned on the Memorandum of Articles of Company, We as proprietor of D.R.K. / Bahing J.V. for contract No: 03/BELAKA/NCB/W/2077-078 of the Company hereby delegate power of attorney to Mr. Mahesh Rai  (hereby called the Authorized representative) of this company to do and execute all our any of the acts and things mentioned below in connection with above reference project: 03/BELAKA/NCB/W/2077-078.

A)     To sign, submit and deliver bidding document for and behalf of the company, along with such other documents may be required from time to time.

B)      To discuss, negotiate and finalize the contract agreement if contract is award.

C)      To act on behalf of the company in all manners connected with the execution of the project.

D)     To submit the bills, receive the payment and incur the expenses.

E)      For the agreement of project, Registration of JV Pan and Opening of JV Bank Account.

And the company hereby agrees that all aforesaid acts, deeds and things done by the authorized representative shall be conducted as acts, deeds and things done by the company and undertake to ratify and confirm all and whatsoever by virtue the power hereby given.

i)      Our firms, its affiliates or subsidiaries, including any subcontractor or suppliers for any part of the contract, has not been declared ineligible, under the Employer's country laws or official regulation or by an act of compliance with a decision of the United Nation Security Council.

j)      We are not a Gov. Entity but meet the requirement of ITB.5¹.

k)     We understand that this bid, together with your written acceptance thereof include in your notification of award, shall constitute a binding contract between us, until a formal contract is prepared and executed.

l)      We declare that, we have not been black listed as per ITB3.4 and no conflict of interest in the proposed procurement proceedings and we have not been punished for an offense relating to the concerned profession or business.

m)   We understand that you not bound to accept the lowest evaluated bid or any bid that you may receive.

n)     If awarded the contract, the person named below shall act as contractor's representative.

o)    We agree to permit the Employer/ DP or its representative to inspect our account our records and other document relating to the bid submission to have them audited by auditor by the employer.

JOINT VEMTURE AGREEMENT

This AGREEMENT is made on March 1^st  2021 by and between M/S D.R.K. Construction Registered office at Choudandigadhi Municipality, Udayapur, Nepal (herein after called   "lead partner" ) and Bahing Construction Pvt. Ltd. registered office at Dharan sub-metropolitan, sunsari, Nepal ( herein after called Partner)

Whereas Local Government, Choudandigadhi municipality , Udayapur (gereub after caked "the Employer") has invited the bid for Construction work of ventilated causeway, compound wall, guard house and access road for Dhauri park and solid waste management project. Contract No: 04/BELAKA/NCB/W/2077-078 (herein after called "the works").

NOW WE UNDERSTAND, Responsible and authorized representatives of the "joint venture partners" namely partner in charge and partners DO AGREE as follows:

1.       The purpose of the joint venture agreement is to supplement and enhance the technical, financial and administrative capability of the joint venture partners in order to successfully participate in the bidding process and to enter into contract agreement and execution of the work, in case of the contract is awarded.

2.       The application for bid shall be submitted in the name of joint venture, which shall be as follows: D.R.K./Bahing J.V. office Udayapur, Nepal. Contact Number 9852835119, 9842053633 all correspondence documents shall be addressed in this name.

3.       The ratio of participation of each individual joint venturing expressed, as percentage of total contract value shall be follows:

a.        Lead partner ( D.R.K. construction ) 50

b.       Partner ( Bahing construction) 50

4.       The lead partner shall have the exclusive authority to deal with the employers and incur liabilities and receive payments and incur expanses, and shall be overall responsible for the entire execution of the contract.

5.       This agreement will come into force the date of signing of this agreement and shall be enforced till the date of issuance of the certificates of completion, in case this contract is awarded to the joint venture.
